Intellectual Property Policy

This Intellectual Property Policy ("IP Policy") governs the ownership, use, and protection of intellectual property in connection with Palaci's services, platforms, and technologies. It is designed to protect both our IP rights and those of our users, while promoting innovation and collaboration.
1. Purpose & Scope
This policy outlines the framework for intellectual property rights, ownership, and usage related to Palaci's AI technologies, platforms, and services. It applies to all users, customers, employees, contractors, and partners who interact with or contribute to our ecosystem. The policy addresses the creation, ownership, protection, and licensing of intellectual property in various contexts, including user-generated content, model outputs, and collaborative development.
2. IP Ownership
Pre-existing IP
All pre-existing intellectual property remains the property of its original owner. Palaci retains all rights to its pre-existing technologies, algorithms, models, code, documentation, and other proprietary materials. Similarly, users retain all rights to pre-existing materials they provide to or use with our services, subject to the licenses granted herein.
IP Developed in Virtual Lab
Intellectual property developed using Palaci's Virtual Lab or development environments is subject to the following ownership principles:
- Palaci retains ownership of our underlying platforms, models, and technologies used in the Virtual Lab
- Users own the novel applications, workflows, or implementations they independently develop using our tools, subject to our underlying IP rights
- Custom models or adaptations created through fine-tuning or transfer learning may be subject to shared ownership or specific licensing terms as detailed in applicable service agreements
3. User-Submitted Innovations
We value user innovation and contributions to our ecosystem. When users submit suggestions, feedback, or innovations for our platforms:
- Users retain ownership of their original innovations unless explicitly transferred through a separate agreement
- By submitting innovations, users grant Palaci a non-exclusive, worldwide, royalty-free license to use, implement, and incorporate their suggestions
- For substantial contributions, Palaci may offer recognition programs, co-development opportunities, or compensation at our discretion
- Users are responsible for ensuring they have the necessary rights to any innovations they submit
4. Chain-of-Custody & Tamper-Evidence
Palaci implements robust chain-of-custody and tamper-evidence mechanisms to protect intellectual property integrity:
- All IP assets are tracked through our SynapSync platform using cryptographic validation
- Modifications to IP assets are logged with timestamps, user attribution, and change history
- Digital signatures and hash verification ensure the authenticity and integrity of IP assets
- Immutable records provide evidence of creation, modification, and access events
- Third-party notarization is available for critical IP assets requiring additional verification
5. Licenses Granted
Licenses to Users
Palaci grants users the following licenses to our intellectual property:
- A non-exclusive, non-transferable license to use our services according to the terms of your subscription or agreement
- Rights to use, modify, and distribute outputs generated by our AI systems as specified in your service agreement, potentially subject to attribution or usage limitations
- Limited rights to use our APIs, SDKs, and documentation for the purpose of integrating with or developing applications for our platform
Licenses from Users
When using our services, users grant Palaci the following licenses:
- A license to process, store, and use submitted content as necessary to provide and improve our services
- Permission to use anonymized inputs for model training and improvement, subject to privacy controls and opt-out rights
- For public platform contributions, a license allowing other users to interact with and build upon shared content within the platform
6. Open-Source Components
Palaci's services incorporate various open-source components, each governed by its respective license terms. We are committed to complying with all open-source license obligations and providing appropriate attributions.
A comprehensive list of open-source components and their licenses is available upon request. Notable components include:
- TensorFlow (Apache 2.0 License)
- PyTorch (BSD License)
- Transformers (Apache 2.0 License)
- React and Next.js (MIT License)
- Various other libraries and frameworks with MIT, BSD, or Apache licenses
7. Confidential Information & Trade Secrets
Certain aspects of Palaci's technology constitute trade secrets and confidential information. These include but are not limited to:
- Proprietary model architectures and training methodologies
- Internal data processing techniques and custom algorithms
- Unpublished research findings and experimental technologies
- Technical implementations of our services' unique capabilities
Users who receive access to confidential information or trade secrets must comply with all applicable non-disclosure agreements and confidentiality obligations. Unauthorized disclosure or use is strictly prohibited and may result in legal action.
8. Patent Filing Support & Procedures
Palaci supports the patent protection of qualifying innovations developed within our ecosystem:
- For jointly developed innovations, we offer guidance and potential cooperation in patent filing
- Enterprise customers may receive support for patenting innovations developed using our platform, subject to prior agreement
- We maintain procedures for invention disclosure, evaluation, and prioritization for patent protection

9. IP Enforcement & Monitoring
Palaci actively monitors for unauthorized use of our intellectual property and takes appropriate measures to enforce our rights, including:
- Regular scanning for unauthorized use of our trademarks, copyrighted materials, and patented technologies
- Automated detection of API misuse or terms of service violations
- Investigation of reported infringement by third parties
- Graduated enforcement responses, ranging from notification to legal action, based on the nature and extent of infringement
10. Infringement Reporting & Takedown
If you believe that your intellectual property rights have been infringed through our platform or by our users, please submit a report containing:
- Identification of the protected work and evidence of your ownership rights
- Precise location or description of the allegedly infringing material
- Your contact information and a statement of good faith belief in the infringement
- A declaration under penalty of perjury that your report is accurate
Reports should be submitted to ip@palaci.org. We will promptly investigate and take appropriate action in accordance with applicable laws.
11. Joint Development Agreements
For collaborative innovation and co-development activities, Palaci offers structured Joint Development Agreements (JDAs) that:
- Clearly define ownership and licensing rights for resulting intellectual property
- Establish frameworks for commercialization and revenue sharing when applicable
- Outline contribution expectations, resources, and project governance
- Address confidentiality, publication rights, and attribution
JDAs are customized based on the specific collaboration scenario and negotiated individually with partners. Contact our business development team to explore joint development opportunities.
12. Data & Model Provenance
Palaci maintains comprehensive provenance records for our AI models and training data to ensure transparency and accountability:
- Documentation of data sources, licensing status, and usage rights for training datasets
- Model cards detailing training methodologies, evaluation metrics, and intended use cases
- Version control and attribution for model derivations and adaptations
- Clear delineation between foundation models and customer-specific fine-tuned versions
Enterprise customers can access detailed provenance information for models they use or develop on our platform through our SynapSync provenance tracking system.
13. IP Audit Rights
To ensure compliance with this IP Policy and related agreements:
- Palaci reserves the right to audit user compliance with licensing terms and IP usage restrictions
- Enterprise customers may have negotiated audit rights to verify our compliance with IP ownership and data usage provisions
- Audit processes are conducted with reasonable notice and appropriate confidentiality measures
- Third-party auditors may be employed subject to confidentiality agreements
