Terms of Use

By accessing or using our Services, you confirm that you accept these Terms and agree to comply with them. If you do not agree to these Terms, you must not access or use our Services.

We may revise these Terms at any time by updating this page. Significant changes will be notified to you, such as through a message on our website or by email. Your continued use of the Services after the posting of revised Terms means that you accept and agree to the changes. It is your responsibility to check this page periodically for updates.

To use certain features of our Services, you may need to create an account. When you do, you must:

• Be at least 18 years old, or have parental consent if your jurisdiction allows minors to use our Services with such consent
• Provide accurate, current, and complete information
• Maintain and promptly update your account information
• Keep your account credentials secure and confidential
• Notify us immediately of any unauthorized access or security breaches

If you are creating an account on behalf of a company or other entity, you must have the authority to bind that entity to these Terms.

We reserve the right to disable accounts, reject registrations, or restrict access at our discretion.

When using our Services, you agree to:

• Comply with all applicable laws and regulations
• Respect the rights and dignity of others
• Use the Services only for lawful and authorized purposes
• Follow any guidelines or documentation we provide
• Respect the integrity of our systems and networks
• Cooperate with our reasonable requests related to your use of the Services

We encourage responsible and ethical use of AI technologies in accordance with our Ethical AI Guidelines.

You must not use our Services to:

• Violate any laws, regulations, or third-party rights
• Generate, distribute, or promote harmful, deceptive, or illegal content
• Engage in activities that endanger minors
• Distribute malware or conduct security attacks
• Interfere with, disrupt, or impose an unreasonable load on the Services
• Attempt to gain unauthorized access to any part of the Services
• Reverse engineer or bypass any security or authentication measures
• Scrape or harvest data from the Services except as expressly permitted
• Use the Services for high-risk applications without appropriate safeguards
• Impersonate any person or entity or misrepresent your affiliation

We reserve the right to investigate and take appropriate action against violations, which may include terminating your account and reporting to authorities.

"User Content" refers to any content you submit, upload, or otherwise make available through our Services, including text, images, data, or other materials.

When you provide User Content, you grant us a worldwide, non-exclusive, royalty-free license to use, copy, modify, create derivative works based on, distribute, publicly display, and store your User Content for the purposes of:

• Operating, improving, and promoting our Services
• Developing new programs and services
• Protecting our rights and property

You represent and warrant that:

• You own or have the necessary rights to your User Content
• Your User Content does not violate the privacy, publicity, intellectual property, or other rights of any person
• Your User Content does not contain harmful, discriminatory, illegal, or otherwise objectionable material

We reserve the right to remove or modify User Content that violates these Terms or that we reasonably believe may cause liability or harm.

In addition to the rights to User Content described above, you grant us specific rights to facilitate our provision of the Services:

• The right to transmit, process, store, and disclose your content as necessary to provide the Services, comply with legal obligations, and enforce our Terms
• The right to analyze your content and usage patterns to improve our Services
• The right to use anonymized, aggregated data derived from your use of our Services for research, analysis, and service enhancement

These rights survive termination of your account for content that remains in our systems. However, beyond what is necessary to provide the Services or as required by law, we will not share your content with third parties without your permission.

We have implemented the following moderation and content review procedures to maintain a safe and respectful environment:

• Content may be subject to automated screening using AI technologies
• User-reported content undergoes review by our moderation team
• Content that violates these Terms may be removed, with notification to the user when practicable
• Repeated or severe violations may result in temporary or permanent restrictions

To report harmful, infringing, or violating content, please use the reporting mechanisms within our Services or contact trust@palaci.org. Reports should include a description of the content, its location, and the nature of the concern.

Our Services may allow you to integrate with or access third-party services, applications, or APIs. When using these integrations:

• You remain responsible for complying with the terms and policies of those third parties
• We are not responsible for the content, privacy practices, or policies of third-party services
• Third-party integrations may involve the transfer of your data to those services
• We reserve the right to disable integrations that pose security risks or violate our policies

If you develop applications that connect to our APIs, you must also comply with our API Terms and Developer Guidelines.

Our Services and their entire contents, features, and functionality (including but not limited to all information, software, text, displays, images, video, and audio, and the design, selection, and arrangement thereof) are owned by Palaci, its licensors, or other providers of such material and are protected by intellectual property laws.

These Terms do not grant you any rights to use our trademarks, logos, domain names, or other brand features. You may not remove, alter, or obscure any copyright, trademark, or other proprietary notices.

If you believe that your intellectual property rights have been infringed, please review our IP Policy for information on how to submit a notification.

Some of our Services are offered on a subscription or fee basis. For these services:

• You agree to pay all fees in accordance with the terms specific to the service you subscribe to
• Subscription fees are billed at the start of the subscription period and may renew automatically
• You may cancel automatic renewal at any time through your account settings
• Refunds are provided only as specified in our refund policy or as required by law
• We reserve the right to change our prices with reasonable notice

Note: If fees and subscription terms differ from those in our Business Terms (for enterprise clients), the Business Terms will take precedence.

We may offer beta, preview, or experimental features that are still under development. For these features:

• They are provided "as is" without warranties of any kind
• They may have limited functionality, contain errors, or be discontinued without notice
• Usage data and feedback may be collected to improve the features
• Special terms may apply, which will be presented when you access these features

If you opt to participate in research initiatives, your data may be used for research purposes as described in the specific research terms and our Privacy Policy. Research data will be handled with appropriate safeguards and, when published, will be anonymized unless you explicitly consent otherwise.

We may suspend or terminate your access to all or part of the Services, with or without notice, for:

• Violation of these Terms or other applicable policies
• Engaging in conduct that restricts or inhibits others' use of the Services
• Conduct that could damage or subject us to liability
• Request by law enforcement or other government agencies
• Extended periods of inactivity
• Unexpected technical or security issues

You may terminate your account at any time by following the instructions in your account settings. Upon termination:

• Your right to use the Services will immediately cease
• We may (but are not obligated to) delete your data according to our data retention policies
• All provisions of these Terms which by their nature should survive will survive

YOUR USE OF THE SERVICES IS AT YOUR SOLE RISK. THE SERVICES ARE PROVIDED ON AN "AS IS" AND "AS AVAILABLE" BASIS, WITHOUT WARRANTIES OF ANY KIND, EITHER EXPRESS OR IMPLIED, INCLUDING, BUT NOT LIMITED TO, IMPLIED WARRANTIES OF MERCHANTABILITY, FITNESS FOR A PARTICULAR PURPOSE, NON-INFRINGEMENT, OR COURSE OF PERFORMANCE.

PALACI DOES NOT WARRANT THAT:

• THE SERVICES WILL FUNCTION UNINTERRUPTED, SECURE, OR AVAILABLE AT ANY PARTICULAR TIME OR LOCATION
• ANY ERRORS OR DEFECTS WILL BE CORRECTED
• THE SERVICES ARE FREE OF VIRUSES OR OTHER HARMFUL COMPONENTS
• THE RESULTS OF USING THE SERVICES WILL MEET YOUR REQUIREMENTS

THE USE OF AI TECHNOLOGIES INVOLVES INHERENT LIMITATIONS AND RISKS, INCLUDING THE POTENTIAL FOR ERRORS, INACCURACIES, AND UNEXPECTED OUTPUTS. YOU ACKNOWLEDGE THESE LIMITATIONS AND AGREE TO EXERCISE APPROPRIATE CAUTION AND JUDGMENT WHEN USING OUR SERVICES.

TO THE MAXIMUM EXTENT PERMITTED BY LAW, IN NO EVENT SHALL PALACI, ITS DIRECTORS, EMPLOYEES, PARTNERS, AGENTS, SUPPLIERS, OR AFFILIATES BE LIABLE FOR:

• ANY INDIRECT, INCIDENTAL, SPECIAL, CONSEQUENTIAL, OR PUNITIVE DAMAGES
• LOSS OF PROFITS, DATA, USE, GOODWILL, OR OTHER INTANGIBLE LOSSES
• DAMAGES RELATING TO YOUR ACCESS TO, USE OF, OR INABILITY TO ACCESS OR USE THE SERVICES
• DAMAGES RELATING TO ANY CONDUCT OR CONTENT OF ANY THIRD PARTY USING THE SERVICES

THIS LIMITATION APPLIES WHETHER THE ALLEGED LIABILITY IS BASED ON CONTRACT, TORT, NEGLIGENCE, STRICT LIABILITY, OR ANY OTHER BASIS, EVEN IF PALACI HAS BEEN ADVISED OF THE POSSIBILITY OF SUCH DAMAGE.

SOME JURISDICTIONS DO NOT ALLOW THE EXCLUSION OF IMPLIED WARRANTIES OR LIMITATION OF LIABILITY FOR INCIDENTAL OR CONSEQUENTIAL DAMAGES, WHICH MEANS THAT SOME OF THE ABOVE LIMITATIONS MAY NOT APPLY TO YOU. IN THESE JURISDICTIONS, PALACI'S LIABILITY WILL BE LIMITED TO THE GREATEST EXTENT PERMITTED BY LAW.

The Services may be subject to export laws and regulations of the United States and other jurisdictions. By using the Services:

• You represent that you are not located in a country that is subject to a U.S. government embargo, or that has been designated as a "terrorist supporting" country
• You confirm that you are not listed on any U.S. government list of prohibited or restricted parties
• You agree to comply with all applicable export and re-export restrictions and regulations
• You will not transfer, or authorize the transfer of, any of our technology to prohibited countries or entities

Note: This section is particularly important for cryptographic or AI technologies that may be subject to specific export controls.

These Terms, together with our Privacy Policy, IP Policy, and any other agreements expressly incorporated by reference, constitute the entire agreement between you and Palaci concerning your use of the Services.

If any provision of these Terms is held to be invalid or unenforceable, such provision shall be struck and the remaining provisions shall be enforced to the fullest extent under law.

Our failure to enforce any right or provision of these Terms will not be considered a waiver of those rights. The waiver of any such right or provision will be effective only if in writing and signed by an authorized representative of Palaci.
